Terms of Service

1. Acceptance of Terms

By accessing or using any website, mobile application, or facility operated by ONYX Gyms 24/7 ("ONYX," "we," "us," or "our"), or by entering into a membership agreement, you agree to be bound by these Terms of Service. If you do not agree with any part of these terms, you may not use our services.

2. Membership Eligibility

To become a member, you must:

• Be at least 18 years of age, or have a parent/guardian co-sign if under 18.
• Provide accurate and complete personal information.
• Agree to all membership agreement terms and conditions presented at the time of enrollment.
• Maintain a valid payment method on file at all times.

3. Membership Agreements & Billing

All memberships are governed by the individual membership agreement signed at enrollment. The following general terms apply to all membership types:

• Monthly Billing: Dues are billed on the same date each month. Failure to maintain a valid payment method may result in suspension of access.
• Club Improvement Fee: A $25 semi-annual Club Improvement Fee is charged on January 1 and July 1 of each year.
• Returned Payment Fee: A $25 fee applies to any returned or declined payment on your monthly bill date.
• Processing Fee: A one-time processing fee applies at the time of enrollment as specified in your membership agreement.

4. Right of Rescission

You may cancel your membership agreement within 3 business days of signing by providing written notice to ONYX. After this period, cancellation is subject to the terms of your individual membership agreement, including any applicable notice requirements and outstanding balance obligations.

5. Cancellation & Termination

• Members may cancel with 1 month advance written notice. All dues must be current at the time of cancellation request.
• ONYX reserves the right to terminate any membership for violation of facility rules, conduct policies, or these Terms of Service.
• Default on any payment forfeits use of all ONYX facilities until all past-due amounts are paid in full.

6. Facility Rules & Member Conduct

All members and guests are expected to conduct themselves in a respectful and responsible manner. The following behaviors may result in immediate suspension or permanent termination of membership:

• Harassment, threats, intimidation, or disruptive behavior toward staff or other members.
• Unauthorized sharing or transfer of membership access cards or key fobs.
• Damage to or theft of facility property or equipment.
• Use of illicit substances on ONYX premises.
• Violation of any posted facility rules or staff directives.

7. Membership Access Cards

Members must present a valid ONYX-issued barcode or access card to enter any facility. Unauthorized use of another member's access credentials is strictly prohibited and may be subject to civil or criminal penalties.

8. Assumption of Risk & Liability Waiver

Physical exercise involves inherent risks, including but not limited to: cardiovascular events, muscle injuries, broken bones, heat-related illness, and other physical harm. By using any ONYX facility, you acknowledge these risks and agree that:

• You are physically capable of participating in fitness activities.
• You assume full responsibility for any injury or damages resulting from your use of ONYX facilities or participation in programs.
• You release, indemnify, and hold harmless ONYX Gyms 24/7, ONYX Brands Holdings, its officers, employees, agents, and affiliates from any and all claims, damages, or liabilities arising from your participation.

9. Hours of Operation

Facility hours of operation, including staffed hours and 24/7 key card access availability, are subject to change at the sole discretion of management. ONYX will make reasonable efforts to communicate significant changes to members in advance.

10. Kids' Korner Childcare

Use of Kids' Korner childcare services is subject to the following conditions: (a) the parent/guardian must remain on the premises at all times; (b) children may use the service for a maximum of 2 hours per day; (c) maximum capacity is 18 children; (d) ONYX reserves the right to refuse service if capacity is reached or if a child's behavior poses a safety risk to other children or staff.

11. Guest Privileges

Guest privileges vary by membership tier. Guests must be accompanied by a current member and must sign a Guest Waiver prior to using any facility. Guests are subject to all ONYX facility rules. Abuse of guest privileges may result in loss of guest access.

12. Intellectual Property

All content on the ONYX website and mobile application including text, graphics, logos, images, and software is the property of ONYX Brands Holdings or its content suppliers and is protected by applicable intellectual property laws. Unauthorized use, reproduction, or distribution is strictly prohibited.

13. Limitation of Liability

To the maximum extent permitted by applicable law, ONYX Gyms 24/7 shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or goodwill, arising out of your use of or inability to use our services, facilities, or website.

14. Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of the State of Ohio, without regard to its conflict of law provisions. Any disputes arising under these terms shall be resolved exclusively in the state or federal courts located in Summit County, Ohio.

15. Changes to These Terms

ONYX reserves the right to modify these Terms of Service at any time. Continued use of our services after any changes constitutes your acceptance of the revised terms. We will post updated terms on our website with a revised "Last updated" date.
